Roche Ltd, Consulting group annonces the appointement of Claude Rousseau and André Grondines

Quebec City, December 9, 2014 – Serge Dussault, Chairman of the Board of Roche Limited, Consulting Group (“Roche”), is pleased to announce the appointment of Claude Rousseau and André Grondines.

“Mr. Rousseau and Mr. Grondines will be the first two independent directors to sit on our board,” noted Mr. Dussault. “We are very pleased to have them: their complementary experience brings added depth and a new vision that will enhance governance here at Roche.”

Claude Rousseau comes to Roche with extensive experience in business administration, organizational performance, and corporate governance. Until recently he served as president of the Québec Remparts hockey team, and prior to that he held executive positions in the telecommunications sector.

André Grondines, FCPA, CPA, CMC, ASC, has over 30 years’ experience in auditing and consulting, including a term as partner with Ernst & Young. He has a proven track record in the field of risk management, particularly in the financial sector.

Ethics commissioner

The appointment of these two independent board members is one of a series of measures designed to ensure Roche respects the best principles of governance. To this end, Roche also appointed an ethics commissioner, Jacques Langlois, in the course of the past year.

The ethics commissioner is independent and has investigative powers. For example, all complaints received on the confidential hotline are referred to him. The hotline, which is managed by an outside firm, makes it possible to anonymously report potentially inappropriate actions.

“Roche has implemented a rigorous framework to ensure best business practices are followed. Our entire company, including the board, is firmly behind the process,” board chair Serge Dussault concluded.
